-Update Restocks-
Voor de crediteuren die vorderingen hebben op Restocks is het medio april 2024 voor de curator nog steeds niet in te schatten of, en zo ja, wanneer c.q. welk deel van hun vorderingen zal worden terugbetaald.. Naar verwachting kan dit nog enkele maanden duren.
Een van de redenen voor de onduidelijkheid over de positie van de individuele concurrente schuldeisers is het feit dat de omvang van de schuld van de preferente schuldeisers, zoals de belastingdienst en het UWV nog steeds niet vast staat. Het UWV is nog bezig met het berekenen van haar vordering en het is mogelijk dat de belastingdienst nog met een naheffing komt. Praktijkervaring is dat dit lang op zich kan laten wachten. De curator kan alleen uitkeren aan schuldeisers in een door de wet bepaalde volgorde. Boedelschuldeisers en preferente schuldeisers, zoals de belastingdienst en het UWV, moeten eerst betaald worden Daarna, als er nog actief resteert, komen privé schuldeisers aan de beurt.
De curator is bezig met onderzoek naar onder andere de administratie en het handelen van de bestuurder. Op korte termijn zal en nog geen duidelijkheid zijn over de uitkomsten van deze onderzoeken. Over de inhoud van het onderzoek en de eerste resultaten doet de curator nog geen mededingen. Hij komt daar later op terug.
Het spijt ons dat wij op dit moment niet meer informatie met jullie kunnen delen. Nader bericht volgt.

For those creditors who have claims against Restocks, in mid-April 2024, it is still impossible for the trustee to estimate whether, and if so when or what proportion of their claims will be repaid. This is expected to take several more months.
One of the reasons for the uncertainty about the position of the individual unsecured creditors is the fact that the size of the debt of the preferential creditors, such as the tax authorities and the UWV, is still not certain. The UWV is still calculating its claim and it is possible that the tax authorities will still come up with an additional levy. Field experience is that this can take a long time. The trustee can only pay out to creditors in an order determined by law. Estate creditors and preferential creditors, such as the tax authorities and the UWV, must be paid first After that, if there are any assets left, it is the turn of private creditors.
The trustee is investigating the administration and the actions of the director, among other things. In the short term, and will not yet be clear about the outcome of these investigations. The trustee makes no announcements yet about the contents of the investigation and the first results. He will come back to this later.

Bij vonnis van de rechtbank Zeeland-West-Brabant van 14 november 2023 is het faillissement uitgesproken van de besloten vennootschap met beperkte aansprakelijkheid Restocks B.V. (hierna te noemen: ‘’Restocks’’) mr. Bart Prinsen is benoemd tot curator.
Het faillissement houdt in dat Restocks in een toestand verkeert dat zij is opgehouden haar schuldeisers te betalen. De curator is door de rechtbank aangesteld om de belangen van de gezamenlijke schuldeisers te behartigen en het faillissement af te handelen. Dit doet de curator onder andere door eigendommen van derden aan hen te retourneren, de activa van de failliet te verkopen en de opbrengst volgens de wettelijke rangorde onder de schuldeisers te verdelen. De bestuurder van Restocks heeft door het faillissement geen zeggenschap meer over het vermogen van Restocks.
Het is nu ook niet meer mogelijk om schoenen via Restocks te kopen en/of te verkopen.
Veel particuliere verkopers hebben sneakers in consignatie gegeven aan Restocks en kwalificeren daardoor als eigenaar. Momenteel worden deze schoenen aan de consignatiegevers geretourneerd indien en zodra zij de kosten van retournering aan de boedel hebben voldaan. Intussen hebben ca. 1200 eigenaren de kosten van retournering betaald en mitsdien hun sneakers – uiteenlopend van enkele paren tot bulkpartijen – via UPS geretourneerd gekregen dan wel zullen die geretourneerd krijgen. De curator kan in deze geen garanties geven omdat hij wegens de snelheid van het proces moet afgaan op gegevens in de administratie. Die snelheid is geboden omdat de huur van het bedrijfspand is opgezegd en het op zeer korte termijn leeg moet worden opgeleverd. Financiële middelen voor alternatieve opslag zijn er niet.

De afgelopen weken is hard gewerkt om ca 17.000 paar sneakers die in consignatie gegeven zijn alvast verzendklaar te maken ten behoeve van retournering aan de eigenaren. De consignatiegevers hebben daar bericht van gekregen of krijgen daarvan bericht. De failliete boedel van Restocks kan de kosten van retournering niet opbrengen. Daarom hebben wij een beroep gedaan op de eigenaren om de kosten van retournering zelf te dragen. Zodra de boedel betaling van die kosten ontvangen heeft worden de sneakers via UPS aan de betreffende eigenaren geretourneerd. Als de boedel die betaling niet ontvangt is retournering gelet op de kosten eenvoudig niet mogelijk. Gelet op de aantallen, de agressieve houding van sommige consignatiegevers/schuldeisers en de inrichting van het bedrijfspand is het voor consignatiegevers niet mogelijk de sneakers te komen ophalen.
Let op: het kan zo zijn dat de aantallen door u in consignatie gegeven schoenen volgens de opgave van uw portal op de website intussen veranderd is. Het retourproces is in gang gezet, waardoor de aantallen in het portaal niet meer overeenkomen met eerdere opgaves.
U ontvangt bij verzending de track & trace code voor deze zendingen. Wij vertrouwen op uw medewerking en begrip.
Particuliere kopers en verkopers met openstaande vorderingen op Restocks dienen deze schriftelijk in via e-mail bij curator.restocks@mannaertsappels.nl. Ook overige crediteuren kunnen via dit e-mailadres hun vordering indienen.
De curator verzoekt u om uw vordering met relevante schriftelijke documenten te onderbouwen en te specificeren aan de hand van de schriftelijke documenten. Vorderingen waarin bedragen worden geschat, kunnen niet verwerkt worden. De curator benadrukt dat door de toestroom van e-mails, nu bijna 5.000 een reactie enige tijd op zich wachten. We waarderen uw geduld in deze drukke periode.

De curator heeft op sociale media fora kennis genomen van plannen van groepen eigenaren of schuldeisers om naar de vestiging van Restocks te komen. De curator benadrukt dat dit geen zin heeft en tevens schadelijk kan zijn voor een vlotte afwikkeling van het faillissement. Bovendien kunnen de belangen van de individuele eigenaren/schuldeisers hierdoor worden geschaad. Op dit moment zijn is een team van mensen intensief bezig met de afronding van eerste onderzoek en het stroomlijnen van het vervolg om de sneakers te retourneren. Het is van essentieel belang dat dit proces ongestoord verloopt zodat zoveel mogelijk sneakers aan de eigenaren kunnen worden geretourneerd en zoveel mogelijk actief te gelde kan worden gemaakt waardoor uiteindelijk ook concurrente schuldeisers geheel of gedeeltelijk kunnen worden voldaan.
Op 21 november jl. heeft de curator, met toestemming van de rechter-commissaris, de arbeidsovereenkomsten van de personeelsleden opgezegd,. Naar aanleiding hiervan heeft er op donderdag 23 november jl. een bijeenkomst met het UWV en de werknemers plaatsgevonden. Het UWV zal het achterstallig salaris (tot maximaal dertien weken voor faillissement), het salaris tot aan de laatste werkdag. 21 december 2023, vakantiegeld, onbetaalde pensioenpremies én niet-opgenomen vakantiedagen uitbetalen aan de werknemers. Indien u al eerder een VSO getekend heeft en een transitievergoeding bent overeengekomen, kunt u deze indienen bij j.leerentveld@mannaertsappels.nl. De curator onderzoekt begin januari 2024 de voortzetting of doorstart van delen van de onderneming van Restocks. Gegadigden hebben zich gemeld en met hen zal contact worden opgenomen.
Uiteraard doet de curator ook onderzoek naar de oorzaken van het faillissement. Het is op dit moment echter nog te vroeg om daar uitspraken over te doen. Nader bericht volgt op de website of in de openbare faillissementsverslagen.
Dit geldt ook voor het door de curator te verrichten rechtmatigheidsonderzoek. Dit houdt in dat de curator onderzoekt of er sprake is van onregelmatigheden die het faillissement, althans mede, hebben veroorzaakt, dan wel de vereffening van de failliete boedel bemoeilijken of het tekort in het faillissement hebben vergroot.
De curator informeert periodiek door middel van een openbaar verslag de rechter-commissaris over het verloop van het faillissement. Deze verslagen worden door de rechtbank openbaar gemaakt om schuldeisers en betrokkenen te informeren over de stand van zaken in het faillissement. De openbaar verslagen zijn hier terug te vinden. Het eerste verslag is rond 14 december 2023 gepubliceerd en het volgende ongeveer drie maanden later.
Wij begrijpen dat er vragen en zorgen zijn met betrekking tot lopende bestellingen, garanties en andere aangelegenheden. Tegelijk vragen wij u gelet op de aantallen e-mails die wij krijgen en de omvang van het faillissement om geduld en begrip. De curator en zijn team
By judgment of the District Court of Zeeland-West-Brabant dated November 14, 2023, the bankruptcy of the private company with limited liability Restocks B.V. (hereinafter referred to as ”Restocks”) Mr. Bart Prinsen has been appointed trustee.
The bankruptcy implies that Restocks is in a condition that it has ceased to pay its creditors. The receiver has been appointed by the court to look after the interests of the joint creditors and handle the bankruptcy. Among other things, the trustee does this by returning third-party property to them, selling the bankrupt’s assets and distributing the proceeds to the creditors according to the legal order of priority. As a result of the bankruptcy, the director of Restocks no longer has control over Restocks’ assets.
Therefore, it is now no longer possible to buy and/or sell shoes through Restocks.
Many private sellers have consigned trainers to Restocks and therefore qualify as owners. Currently, these shoes are returned to the consignors if and when they have paid the costs of return to the estate. Meanwhile, about 1,200 owners have paid the costs of return and have or will have their trainers – ranging from a few pairs to bulk batches – returned via UPS. The trustee cannot give any guarantees in this respect because, due to the speed of the process, it has to rely on data in the records. That speed is required because the lease of the business premises has been terminated and it must be handed over empty very soon. Financial resources for alternative storage are not available.

Over the past few weeks, a lot of hard work has gone into preparing about 17,000 pairs of trainers that have been given on consignment for return to their owners. The consignors have been informed or will be informed. The bankrupt estate of Restocks cannot afford the cost of returns. Therefore, we have appealed to the owners to bear the cost of return themselves. Once the estate has received payment of those costs, the trainers will be returned to the respective owners via UPS. If the estate does not receive that payment, return is simply not possible given the costs. Given the numbers, the aggressive attitude of some consignors/creditors and the layout of the premises, it is not possible for consignors to come and collect the trainers. .
Please note that the numbers of shoes given by you on consignment according to your portal’s statement on the website may have changed in the meantime. As the return process has been initiated, the numbers in the portal no longer correspond to previous statements.

Private buyers and sellers with outstanding claims against Restocks submit them in writing via e-mail to curator.restocks@mannaertsappels.nl. Other creditors can also submit their claims via this e-mail address.
The trustee requests you to substantiate and specify your claim with relevant written documents. Claims in which amounts are estimated cannot be processed. The trustee stresses that due to the influx of e-mails, now close to 5,000 a response will take some time. We appreciate your patience during this busy period.

The trustee has taken note on social media forums of plans by groups of owners or creditors to come to Restocks’ premises. The trustee stresses that this makes no sense and may also be detrimental to the smooth resolution of the bankruptcy. Moreover, it may harm the interests of individual owners/creditors. Currently, a team of people are intensively working on finalising initial investigations and streamlining the follow-up to return the trainers. It is essential that this process goes undisturbed so that as many trainers as possible can be returned to the owners and as many assets as possible can be monetised, ultimately allowing unsecured creditors to be satisfied in full or in part.
On 21 November last, the trustee, with the permission of the supervisory judge, terminated the employment contracts of the employees,. Following this, a meeting with the UWV and the employees took place on Thursday 23 November last. The UWV will pay back salary (up to a maximum of 13 weeks before bankruptcy), salary up to the last working day. 21 December 2023, holiday pay, unpaid pension contributions and untaken holidays will be paid to the employees. The trustee will investigate the continuation or relaunch of parts of Restocks’ business in early January 2024. Candidates have come forward and will be contacted.
Naturally, the trustee is also investigating the causes of the bankruptcy. However, it is too early at this stage to make any statements on this. Further news will follow on the website or in the public bankruptcy reports.
This also applies to the legality investigation to be conducted by the trustee. This means that the trustee will investigate whether there are any irregularities that caused the bankruptcy, or at least contributed to it, or made the liquidation of the bankrupt estate more difficult or increased the bankruptcy deficit.
The trustee periodically informs the supervisory judge of the progress of the bankruptcy by means of a public report. These reports are made public by the court to inform creditors and stakeholders about the status of the bankruptcy. The public reports can be found here. The first report was published around 14 December 2023 and the next one around three months later.

Par jugement du tribunal d’arrondissement de Zeeland-West Brabant en date du 14 novembre 2023, la faillite de la société privée à responsabilité limitée Restocks B.V. (ci-après dénommée ”Restocks”) a été confiée à Monsieur Bart Prinsen en qualité de .
La faillite signifie que Restocks est dans une situation où elle a cessé de payer ses créanciers. Le syndic a été désigné par le tribunal pour veiller aux intérêts des créanciers communs et gérer la faillite. Pour ce faire, il restitue notamment les biens des tiers, vend les actifs de la faillite et distribue le produit de la vente aux créanciers selon l’ordre de priorité légal. À la suite de la faillite, le directeur de Restocks n’a plus le contrôle des actifs de Restocks.
Il n’est donc plus possible d’acheter et/ou de vendre des chaussures par l’intermédiaire de Restocks.
De nombreux vendeurs privés ont consigné des chaussures à Restocks et sont donc considérés comme des propriétaires. Actuellement, ces chaussures sont renvoyées aux expéditeurs lorsqu’ils ont payé les frais de retour à la succession. Entre-temps, environ 1 200 propriétaires ont payé les frais de retour et ont reçu ou recevront leurs baskets – allant de quelques paires à des lots en vrac – par UPS. Le syndic ne peut donner aucune garantie à cet égard car, en raison de la rapidité du processus, il doit s’appuyer sur les données figurant dans les registres. Cette rapidité est nécessaire parce que le bail des locaux commerciaux a été résilié et qu’ils doivent être rendus vides très prochainement. Les ressources financières pour un stockage alternatif ne sont pas disponibles.

Veuillez noter que le nombre de chaussures que vous avez remises en consignation selon la déclaration de votre portail sur le site web peut avoir changé entre-temps. La procédure de retour ayant été lancée, les numéros figurant sur le portail ne correspondent plus aux relevés précédents.

Les acheteurs et vendeurs privés ayant des créances en souffrance à l’égard de Restocks les soumettent par écrit, par courrier électronique, à l’adresse curator.restocks@mannaertsappels.nl. Les autres créanciers peuvent également soumettre leurs créances par le biais de cette adresse électronique.
Le curateur vous demande de justifier et de préciser votre créance à l’aide de documents écrits pertinents. Les créances dont les montants sont estimés ne peuvent pas être traitées. Le curateur souligne qu’en raison de l’afflux de courriels (près de 5 000 à l’heure actuelle), il faudra un certain temps pour répondre. Nous vous remercions de votre patience pendant cette période chargée.

Le syndic a pris connaissance, sur les forums de médias sociaux, de projets de groupes de propriétaires ou de créanciers visant à se rendre dans les locaux de Restocks. Le curateur souligne que cela n’a pas de sens et peut également nuire au bon déroulement de la faillite. En outre, cela pourrait nuire aux intérêts des propriétaires/créanciers individuels. Actuellement, une équipe de personnes travaille intensivement à la finalisation des enquêtes initiales et à la rationalisation du suivi en vue de la restitution des formateurs. Il est essentiel que ce processus ne soit pas perturbé afin que le plus grand nombre possible de baskets puissent être restituées aux propriétaires et que le plus grand nombre possible d’actifs puissent être monétisés, permettant ainsi aux créanciers non garantis d’être satisfaits en tout ou en partie.
Le 21 novembre dernier, le syndic, avec l’autorisation du juge de surveillance, a mis fin aux contrats de travail des employés. Suite à cela, une réunion avec l’UWV et les employés a eu lieu le jeudi 23 novembre dernier. L’UWV remboursera les salaires (jusqu’à un maximum de 13 semaines avant la faillite), les salaires jusqu’au dernier jour de travail. Le 21 décembre 2023, le pécule de vacances, les cotisations de pension non payées et les vacances non prises seront payés aux employés. Si vous avez déjà signé un VSO et convenu d’un paiement de transition, vous pouvez le soumettre à j.leerentveld@mannaertsappels.nl. Le mandataire étudiera la poursuite ou la relance de certaines activités de Restocks au début du mois de janvier 2024. Des candidats se sont manifestés et seront contactés.
Bien entendu, le curateur enquête également sur les causes de la faillite. Il est toutefois trop tôt pour faire des déclarations à ce sujet. D’autres informations suivront sur le site web ou dans les rapports de faillite publics.
Il en va de même pour l’enquête de légalité menée par le syndic. Cela signifie que le syndic recherchera s’il existe des irrégularités qui ont causé la faillite, ou du moins y ont contribué, ou ont rendu la liquidation de la masse de la faillite plus difficile ou ont augmenté le déficit de la faillite.
Le syndic informe périodiquement le juge de surveillance de l’état d’avancement de la faillite au moyen d’un rapport public. Ces rapports sont rendus publics par le tribunal afin d’informer les créanciers et les parties prenantes de l’état d’avancement de la faillite. Les rapports publics sont disponibles ici. Le premier rapport a été publié vers le 14 décembre 2023 et le suivant environ trois mois plus tard.
